NSE Advances IPO Listing via Offer for Sale Following SEBI Settlement

National Stock Exchange Moves Toward Long-Awaited Public Debut

The National Stock Exchange of India (NSE) is accelerating plans for its highly anticipated initial public offering (IPO), targeting a blockbuster market valuation. The listing structure is expected to utilize the Offer for Sale (OFS) route, meaning no fresh capital will be raised by the exchange itself. Instead, this mechanism allows existing institutional shareholders to divest their stakes to public market participants without diluting the exchange’s capital base.

The NSE secured a major regulatory victory when the Securities and Exchange Board of India (SEBI) issued a formal No-Objection Certificate (NOC) for the proposed IPO on January 30, 2026. Shortly thereafter, the NSE board officially approved the IPO plan on February 6, 2026. As of mid-2026, the exchange is actively working through necessary filings, including the submission of its Draft Red Herring Prospectus, moving closer to the final stages of its public debut.

SEBI Regulatory Settlement Clears Final Hurdle for Market Listing

This development follows the successful progress toward settling past regulatory and compliance disputes with SEBI, particularly the long-pending co-location and dark fibre cases. In June 2026, SEBI Chairman Tuhin Kanta Pandey confirmed that the regulator had internally approved the proposed settlement. Reports indicate the NSE proposed a settlement amount ranging between ₹1,491 crore and ₹1,880 crore, and has already recognized a provision of approximately ₹1,391 crore in its FY 2025-26 accounts for this purpose.

By agreeing to pay this substantial consent fee and having previously implemented structural system reforms, the exchange is removing the primary legal overhang that had delayed its listing plans for over half a decade. While final closure involves necessary legal and judicial engagements, clearing this major regulatory bottleneck paves a clear path for the blockbuster IPO later this fiscal year, marking a watershed moment for Indian capital markets.
